We have served as counsel in the acquisition, development, financing, leasing, and disposition of billions of dollars of industrial and warehouse sites individually and as aggregated in portfolios. One of our clients is a Fortune 100 company that owns and leases several hundred facilities in North America.

We handle all aspects of industrial and warehousing real estate and related matters. Our attorneys represent owners, developers, investors, and tenants in the acquisition, development, financing, leasing, and disposition of industrial and warehouse properties.

This representation includes pragmatic and creative assistance with respect to site selection, permitting, economic incentives, tax abatements, utility negotiations, environmental matters, whether as part of a due diligence process or as may arise during ownership or development.  We work to achieve operational and capital cost savings for clients through the negotiation and documentation of governmental and private economic incentives, abatements, and awards.

We also have a significant number of clients in the logistics industry which gives us a deeper understanding of that segment of the warehouse market.


  • Represented office/warehouse developer in development of office/warehouse industrial parks. This involved land acquisition, financing, and addressing development and planning issues for the whole office/warehouse park, including architectural controls, roads, utilities, drainage and rail line access, including the preparation of a declaration of covenants, easements and restrictions.
  • Representing a Fortune 100 national food distribution company as outside North American real estate counsel with regard to all acquisitions, developments, leases and dispositions of real estate in the United States and Canada, including a 550,000 square foot warehouse lease in Southeast and a whole floor office lease in New York City.
  • Represented a Fortune500 consumer goods company in the negotiation of a 1.4 million square foot build to suit regional warehouse and distribution center located in metropolitan Atlanta, Georgia. The facility is used for the storage and distribution of consumer products and regulated chemicals
  • Represented global consumer products client in negotiating purchase agreement of manufacturing facility in Forest Park, Ga., completing significant environmental due diligence, applying for inclusion in Georgia Brownfields program and obtaining approval of Brownfield Compliance Status Report and final Limitation of Liability from the Georgia Environmental Protection Division.
  • Obtained summary judgment in favor of client sued for numerous claims relating to lease of a cold storage facility/warehouse and dispute with landlord relating to use of the facility and the property surrounding the facility. Obtained very favorable settlement terms (including dismissal of all claims against client) following the entry of summary judgment.
  • Representing a national bank in construction loans for multi-family, condominium, retail, office/warehouse and office projects.
  • Representing an institutional owner in the acquisition and disposition of “power center” retail developments, multi-family projects, office/warehouse projects and office developments.
  • Represented national bank in connection with a $107 million line of credit secured by industrial warehouse facilities in Texas, California and Arizona.
  • Representation of national biomedical company in lease of industrial space for research, manufacturing, storage and distribution.
  • Representation of real estate investment and development company in lease of approximately 12-acre industrial site in North Carolina.
  • Representation of light industrial developer and manufacturer in the acquisition of 23-acre site, including 400,000 square foot building, for its U.S. headquarters and manufacturing facility.
  • Over a 10 year period represented a major international real estate company in the purchase, sale and financing of real estate with a total transaction value of $8 to 10 billion. Representation included formation, operation and dissolution of joint ventures with regional and super regional shopping center, retail and industrial property owners, and the purchase, financing and sale of office building and industrial properties. The transaction size ranged from approximately $20 million to approximately $325 million and included securitized debt and conventional bank debt transactions at various amounts up to $1.6 billion.
  • Assisted large food distribution company in evaluating property in Massachusetts for large land acquisition with respect to Natural Resource issues, primarily Wetlands and other Jurisdictional Waters and Endangered Species.
  • Represented institutional owners in connection with leasing and management of portfolio of multiple office and office/warehouse buildings, including a 355,000 square foot office/warehouse lease.
  • Representation of a manufacturing company in the acquisition and tax-exempt bond financing of its $8 million headquarters location in a covenant restricted industrial park.
  • Representing a foreign equity investor, Profimex Ltd., in structuring joint venture with U.S. based developer of office/flex properties and closing acquisition and financing of first development in North Carolina, and in structuring the joint venture for the acquisition of three office/flex buildings in suburban Atlanta, Georgia, and closing the acquisition and financing of same.
  • Representation of developer in acquisition of multiple building industrial park and subsequent leasing activity in the Southeast.
  • Represented national warehouse company in the acquisition, financing, operation and disposition of refrigerated warehouse properties.
  • Representation of retailer in acquisition of inventory and supply warehouse across the United States.
  • Represented a joint venture of three international and one U.S. real estate company in acquiring a major real estate advisor, reviewing ongoing co-investments by the real estate advisor on behalf of the joint venture and then represented the joint venture in selling the real estate advisor and its related co-investments for approximately $560 million.
  • Represented a REIT in connection with acquisition and financing of large refrigerated warehouses and distribution facilities.
