AGG represented client Zero Mile Presents in connection with a 14-month transaction that involved the sale of the west Midtown-based concert promotions company and four Georgia music venues (The Georgia Theatre (Athens), Variety Playhouse (Atlanta), Terminal West (Atlanta) and The Eastern (Atlanta) – still under construction) to California-based promoter, AEG Presents.
AGG team of IP, tax and real estate partners along with lawyers from King & Spalding and Troutman Sanders, contributed their respective expertise to the transaction. The transaction involved complicated corporate structuring and sophisticated acquisition expertise, with additional elements of entertainment (music and events), trademark, employment, tax and real estate law. The sale of each music venue can be viewed in isolation as a separate transaction, which contributed to overall complication of the transaction. The AGG team, working in coordination with attorneys from other law firms, was able to close this complicated transaction to the satisfaction of our client.
The resulting partnership with Zero Mile expands AEG Presents’ presence throughout the Southeast, and will consolidate with the Bowery South and AEG Presents Carolinas to form a unified concert promotions company focusing on the states of Georgia, Alabama, North & South Carolina.
