Ryan P. Lynn

Ryan is an associate in the Corporate & Finance practice who advises private and public companies, investors, and business owners on mergers and acquisitions, private equity and venture capital transactions, debt and equity financings, corporate governance, entity formation and structuring, and commercial contracts. He also serves as corporate counsel to several clients, providing day-to-day legal guidance alongside transaction-specific advice.

Ryan represents clients across a range of industries, including transportation, logistics, and rail; energy and related services; commercial and industrial manufacturing; home and business services; retail and consumer products; healthcare and medical practices; government contracting, defense, and manufacturing; technology and software development; and entertainment. His transactional experience includes advising strategic buyers, private equity-backed companies, portfolio companies, founders, and business owners on acquisitions, sales, financings, restructurings, and other significant corporate matters.

Clients turn to Ryan for guidance throughout the business lifecycle — from entity formation and corporate governance to negotiating commercial agreements, raising capital, executing acquisitions, and preparing for an exit. He works closely with clients to understand both the legal and business considerations behind a transaction and helps them identify issues, evaluate risk, and move deals toward closing.

Before becoming a lawyer, Ryan spent more than five years as an accountant. He began his career as an SEC financial reporting accountant at Southern Company and later served as an operations manager of the outsourced accounting team at Aprio, where he managed accountants and client relationships. He earned both an accounting degree and an MBA from the University of West Florida.

Ryan’s background as an attorney, accountant, and business advisor gives him a practical perspective on corporate transactions and molds his approach to client service. By understanding both the legal and financial considerations behind each matter, he communicates effectively with business leaders and provides responsive guidance aligned with their broader objectives. This knowledge helps executives, investors, and business owners make informed decisions and move confidently through significant transactions and other critical business moments.

While attending Georgia State University College of Law, Ryan worked as a graduate teaching assistant at Georgia State’s College of Business and was a summer associate at AGG. He is also a volunteer attorney with Pro Bono Partnership of Atlanta, where he provides pro bono corporate counsel to several Atlanta-area nonprofit organizations.
