Biography
Nick is of counsel in the Commercial Lending and Real Estate practices, where he focuses on banking and finance, commercial finance, and real estate finance transactions. Based in Atlanta, he represents regional and super‑regional banks, direct lenders, non‑bank private credit platforms, and operating companies and sponsors in the origination, structuring, documentation, and administration of complex middle-market loan transactions.
Nick’s practice sits at the intersection of two core areas: commercial lending and real estate lending. This positioning allows him to guide clients through a wide range of deal types, including commercial real estate loans, cash flow and asset‑based credit facilities, Employee Stock Ownership Plan (“ESOP”) acquisition and ownership transition financings, and other middle‑market financing arrangements. His experience includes financing for multifamily, industrial and industrial outdoor storage (“IOS”), office, and mixed‑use properties, as well as credit facilities for companies in sectors such as environmental services, healthcare, food and beverage, manufacturing, and logistics.
He regularly works with Atlanta‑based and regional lenders, as well as national institutions and sponsors executing transactions across the Southeast and other key U.S. markets. He also represents a growing number of non‑bank private credit platforms and other direct lenders backed by private investors, reflecting the continued expansion of the private credit market.
Clients often bring Nick into transactions at critical points, whether to design and document a new facility, modify and upsize an existing facility, or reset a stalled deal to closing. Nick is known for being accessible and direct, staying closely involved from term sheet through closing and post‑closing administration, and for taking a practical, business‑minded approach that aligns legal risk with credit and business objectives. In multi‑disciplinary transactions he serves as a central point of coordination, bringing in AGG’s tax, regulatory, and industry subject‑matter experts at the right stage to keep deals on track.

- Represented a large regional bank in a senior secured credit facility for a foodservice distribution cooperative, including a $50 million borrowing‑base revolving facility and an approximately $18 million construction loan to finance a new Texas warehouse and distribution center and provide working capital.
- Represented a regional bank in a $70 million guidance line facility for an Atlanta‑based real estate investment platform acquiring industrial outdoor storage (“IOS”) assets, including more than 30 sub‑loan closings for properties in Georgia, Texas, Alabama, Florida, and Virginia.

- Represented a private credit lender in approximately $36 million of term and delayed‑draw term loans to sponsor‑owned single‑purpose entities to finance a five‑property portfolio of office and industrial assets in Georgia, North Carolina, and Florida.
- Represented a middle‑market environmental services company in originating, and later amending and upsizing, its senior secured syndicated credit facility led by a large regional bank, resulting in a $35 million revolving facility and $35 million of term loans to support refinancing, working capital, general corporate purposes, and acquisition capacity.
- Represented a regional bank in a senior secured credit facility for a healthcare revenue cycle and oncology services company, including a $1.5 million revolver and a $6 million term loan to finance an ESOP acquisition and ownership transition.
- Represented a large super‑regional bank, as administrative agent, in a $146 million syndicated term loan to a joint venture between a national multifamily operator and a global alternative asset manager to refinance a REIT‑structured multifamily development in South Florida.
- Represented a private credit lender in connection with the workout of three related distressed mortgage loans secured by a portfolio of beach house lots along Florida’s 30A corridor.
- Represented a regional bank in a $29 million term loan to a single purpose entity controlled by a global institutional asset manager to finance a single tenant net leased industrial facility in southwestern Ohio.
- Represented a large super regional bank in a $75 million term loan to a national multifamily operator to refinance a phased multifamily community in Colorado Springs, Colorado.
- Represented a regional bank in a $10 million term loan to a sponsor owned special purpose entity to finance the acquisition of an industrial property in central Arkansas.
- Represented a private credit lender in a $17.5 million two lender bridge loan to refinance a real estate redevelopment project in the metro Atlanta area.
- Represented a private credit lender in a $16 million loan to a real estate developer secured by a single-family residential project outside Houston, Texas, including negotiation of subordinated debt with homebuilders.
