Genesis HealthCare: AGG Assists in Acquiring Sun Healthcare Group to Form One of Largest Long-Term Care Providers in the Country

Genesis HealthCare, one of the nation’s largest providers of skilled nursing and rehabilitation care, planned to acquire Sun Healthcare Group to form one of the largest long-term care providers in the country. AGG’s Healthcare Practice handled all regulatory aspects of the transaction, including structuring and obtaining all regulatory authorizations.

 

Approach

 

AGG’s healthcare lawyers facilitated the merger by structuring the transaction to minimize cash flow disruption and expedite required approvals. The team then secured the regulatory approvals and authorizations to proceed with the transaction in 33 states. AGG addressed Certificate of Need, licensure, Medicaid, and Medicare requirements for all provider types, including skilled nursing facilities, assisted living facilities, hospices, rehabilitation facilities, nursing pools, and durable medical equipment providers. AGG also coordinated a change in ownership for hospice providers in 11 states that occurred immediately following the merger.

 

Result

 

The merger created a skilled nursing provider that operates 422 centers in 29 states and expands Genesis HealthCare’s rehabilitation therapy business to more than 1,500 contracts in 46 states. The new company employs nearly 80,000 and its combined annual revenue is approximately $4.6 billion.
