Biography

Morgan is a partner in the Litigation & Dispute Resolution practice. She is also a member of the Payments Systems & Fintech industry team.

Morgan represents large and small public and closely held companies, payment processors, consumer reporting agencies, fiduciaries, government entities, and executives. She handles a wide variety of matters involving contract disputes, business torts, class actions, fiduciary liability, restrictive covenant disputes, and fraud and misrepresentation claims. Her experience includes work at both the trial and appellate levels in state and federal courts across the country.

In the payments space, Morgan spends a significant portion of her practice representing the acquiring side of the industry — including processors, ISOs, and payment facilitators — in litigation and compliance issues. Her practice handling disputes includes litigating with merchants over chargebacks, reserves, data breaches, and early termination fees. She also has experience representing payments companies in government investigations by the Federal Trade Commission and Consumer Financial Protection Bureau. On the compliance and regulatory side, Morgan advises clients on compliance with card brand rules, including complex issues regarding surcharging, convenience fee, and cash discounting programs.

Morgan is also at the forefront of one of the fastest emerging areas in environmental law — litigation over per- and polyfluoroalkyl substances (“PFAS”). For the past decade, Morgan has represented numerous companies within the carpet manufacturing industry in PFAS litigation brought in state and federal courts throughout the Southeast. Morgan has also published several articles with the American Bar Association and spoken on the state of play in PFAS regulations and emerging trends in PFAS litigation at the Georgia Environmental Conference and the American Bar Association Toxic Tort & Environmental Law Conference.

Experience

  • Secured dismissal of claims against processor and sponsor bank seeking to recover seven-figure loss following account takeover (“ATO”) and business email compromise (“BEC”) event.
  • Secured voluntary dismissal of suit seeking recovery of more than $100 million in damages based on alleged misappropriation of digital assets from a non-custodial wallet.
  • Obtained TRO preventing service provider from terminating access to client’s CRM software.
  • Secured complete victory after a multi-day arbitration hearing, recovering contract damages and attorneys’ fees for his client — one of North America’s largest legal vertically integrated, multi-state cannabis companies — and defeating a $8.75 million breach-of-contract counterclaim.
  • Successfully defeated certification of putative class action against petroleum company and payment processor related to allegedly flawed implementation of Visa’s Real Time Clearing program.
  • Obtained TRO preventing ISO partner from thwarting migration of hundreds of merchants to an alternative payment processor and, therefore, negotiated favorable conclusion to parties’ business relationship.
  • Obtained dismissal of claims against payment processor in putative class action challenging processing fees and fee increases.
  • Secured dismissal in class action against payment processor for allegedly improper assessment of fees.
  • Successfully defended national restaurant franchisor against a franchisee who sued for wrongful termination of the franchise agreement.
  • Secured complete victory after multi-day arbitration hearing on behalf of custom homes builder in claims against customer for breach of contract; recovered full amount owed and attorneys’ fees.
  • Represented estate in claims against former accountant for wrongfully taking funds from joint account following decedent’s death.
