Corporate Legal Analyst

Overall Responsibilities:

This position generally is a two-year commitment for individuals who want to gain valuable knowledge and entry into the legal field. The individual chosen will report to attorneys and paralegals in the Corporate Practice Group.  The overall responsibilities include, but are not limited, to the following:

  • Assist attorneys in conducting legal due diligence in connection with M&A transactions, including analyzing the underlying information and summarizing or abstracting the relevant portions thereof.
  • Assist attorneys in the preparation of disclosure schedules and other ancillary documents in connection with M&A transactions.
  • Prepare closing binders.
  • Compile signature pages for deal documents.
  • Assist paralegals and attorneys in entity formations, annual registrations, state qualifications and other organizational activities involving state regulatory authorities.
  • Organizing and uploading information and documents into virtual datarooms.
  • Assist attorneys with research and information gathering.
  • Overtime may be required on occasion.
  • Other duties/tasks as assigned.

Required skills:

  • Must have working knowledge of office/administrative procedures and an excellent command of the English language, both written and oral.
  • Must be proficient with Microsoft Office Suite.
  • Must have excellent critical thinking, writing, research, teamwork and communication skills.
  • Must be able to work independently, and as a member of a team, with limited supervision.

Education and Experience Requirements:

  • Candidates should possess a minimum of a Bachelor’s degree from an accredited university and a strong academic background.
  • This job is a two-year position, and is an excellent position for someone who may desire to attend law school.
