Brian Teras is a partner in the Corporate and Securities Practice and practices primarily in the areas of securities offerings and regulation, corporate finance, corporate governance and mergers and acquisitions.

Mr. Teras focuses his practice on the following:

  • Regularly advises public companies in SEC reporting and compliance, including Section 13 and Section 16 obligations, Rule 144 matters, preparation of ’34 Act reports, NYSE and NASDAQ rules compliance, proxy statements, and general disclosure obligations under the federal securities laws
  • Represents issuers in wide range of securities and corporate finance transactions, including registered offerings, private offerings (including Rule 144A/Reg S offerings and Reg D private placements), consent solicitations, and tender and exchange offers involving debt and equity securities
  • Represents public and private companies in structuring, negotiating, and completing mergers, acquisitions, divestitures, and joint ventures
  • Counsels both public and private companies regarding corporate governance matters, board of directors’ duties, executive compensation matters, board and shareholder meetings, and administration of compensation/equity plans

Prior to joining AGG, Mr. Teras served as in-house counsel at an Atlanta-based publicly traded life sciences company.
