Area of Practice
Corporate and Securities Law, with particular emphasis on public offerings and SEC filing requirements, corporate governance, mergers and acquisitions, internet, software, and other technologically-oriented businesses

Mr. Fitzgerald is Chairman of the firm's Securities & Corporate Governance Practice Team and a member of the firm's Technology Practice Team. He represents the firm's business and investment banking clients in initial and other public offerings, as well as SEC filing requirements and private placements. Mr. Fitzgerald's practice also involves advising officers and directors on their obligations in the area of corporate governance, as well as advising independent committees of the Board of Directors and assisting in internal investigations. He frequently represents businesses in connection with mergers and acquisitions, venture capital investments, strategic alliances, technology, licensing, and distribution agreements. He has often represented shareholders in addressing shareholder disputes in both public and private companies. Mr. Fitzgerald majored in Economics at Harvard. While at the Colgate Darden Graduate School of Business, he concentrated on the study of small businesses and entrepreneurial ventures.
