Biography

Andrew is a partner in the Corporate & Securities and Mergers & Acquisition practices. He is also a member of the Logistics & Transportation industry team.

Andrew represents public and private corporations, private equity funds, financial advisors, and boards of directors in mergers and acquisitions, and other strategic transactions, including tender offers, reorganizations, private placements, cross-border, and distressed M&A. He also regularly advises clients on federal securities laws compliance, corporate governance matters, anti-takeover measures, venture capital investments, and joint venture transactions, as well as general day-to-day corporate matters.

Andrew has significant experience in strategic transactions involving privately-held and family-owned businesses; having guided family ownership groups and their financial partners through multiple exit transactions, as well as representing private equity and strategic buyers in similar transactions.

Andrew has represented clients in a broad range of industries, including entertainment and sports, financial services, telecommunications, REITs and real estate, logistics, healthcare and life sciences, aerospace and defense manufacturing, energy, retail, and the Internet.

Prior to practicing law, Andrew was a nationally-broadcast financial journalist for a Peabody Award-winning business news magazine.

  • Assisted in the expedited sale of Midwest-based ambulance provider.

  • Represented Catellus Development Corporation in its $5B merger with ProLogis.

  • Represented DIRECTV in the acquisition of 180 Connect, Inc., and simultaneous spin-off of related cable services and installation businesses.

  • Represented Diagnostic Products Corporation in its $1.9B merger with Siemens Medical Solutions.

  • Represented Nations Petroleum Company Ltd., in the $700M sale of oil and gas operations and related assets to OXY USA Inc.

  • Represented PT Global Mediacom in its sale of a minority stake to Saban Capital Group, completing the first true PIPE (Private Investment in Public Equity) deal by a global private equity fund in Indonesia and named a “Deal of the Year” by International Financial Law Review.

  • Represented Warner Bros. in numerous transactions, including the formation of the CW Network and the acquisition of Flixster/Rotten Tomatoes.

  • Represented a NASDAQ-listed computer peripherals and software company in multiple cross-border acquisitions in the management information systems software space.

  • Represented a leading European investment fund in its $1B acquisition of an international group of manufacturing companies, as well as subsequent “add-on” acquisitions and joint ventures.

  • Represented a leading international fashion retailer in multiple acquisition transactions and with respect to general corporate and securities law matters.

  • Represented a leading international investment fund in connection with the initial public offering of its portfolio retail company on the NYSE.

  • Represented an NYSE-listed retailer in the auction and sale of assets as part of its Chapter 11 proceedings.

  • Represented leading private equity sponsors in multiple acquisitions and divestitures of portfolio companies, including distressed/special situation transactions, as well as the formation of affiliated investment funds.

  • Represented ownership groups in multiple professional sports franchise acquisitions, including the Los Angeles Dodgers MLB baseball club and the Memphis Grizzlies NBA basketball franchise.

  • Represented the founder of a national NYSE-listed retail chain in connection with his publicly announced proposal to purchase all of the assets of the retail business.
