Arnall Golden Gregory’s Private Equity Practice Group includes both the Corporate Private Equity and Venture Capital and Real Estate Private Equity Practice Teams.
The Corporate Private Equity and Venture Capital practice represents entities involved in capital raising activities and institutional and corporate venture capital and private equity funds in connection with their fundraising, governance and investment activities.
We assist clients in control and minority investments through debt or equity financings, including negotiations of terms sheets and investment documents, initial and follow-on acquisitions, recapitalizations, exit transactions and initial public offerings. We assist established and emerging private equity firms in the following activities: venture organization and fundraising activities; fund spin-outs and partner negotiations; portfolio investment negotiation, preparation and closings; due diligence investigations; and fiduciary and conflicts issues avoidance with partners and portfolio investments.
We provide advice to portfolio companies in the technology, real estate and health care industries. We have the experience and expertise to address various aspects of transactions including tax, executive compensation, ERISA, labor, intellectual property and real estate law.
The Real Estate Private Equity Group (REPEG) represents domestic and international clients in the structuring, formation, operation and liquidation of real estate private equity funds created for the purpose of acquiring single, multiple, specific or unidentified real estate assets. The attorneys in the REPEG include securities, real estate, tax, ERISA and corporate specialists with extensive experience representing real estate private equity funds, the promoters forming funds and investors investing in funds. In addition to addressing the legal issues facing our clients, the REPEG attorneys understand and seek to advise clients on and resolve critical business issues by providing legal counsel, business advice and introductions to equity partners, operating partners, and other valuable contacts and financial resources.
We have served as counsel to retail, multi-family, industrial, office, resort, low-income housing tax credit, and other real estate funds in their formation and operation, leading real estate entrepreneurs and developers, including corporate real estate firms who have supported their property acquisition and development platforms through sponsorship of real estate funds, blind pool real estate funds in their formation, capital raising and operations, real estate syndications of specific single- and multi-property financings through the private placement of securities, national office building development firms, including their equity investment operations, real estate investment trusts and state pension plan investors.
Our experience allows us to identify and anticipate key issues, including those related to the organizational structure and economic terms of the fund offering and operations, investors’ investment issues and methods to facilitate completion of the capital raising process. Additionally, our securities and tax expertise allow us to provide technical advice relevant to securities compliance, tax efficiency and other issues, including partnership tax, ERISA, UBTI and off-shore investment issues. We utilize our broad knowledge of, and experience in, the business and legal environment in which funds operate to maximize our clients’ ability to implement and manage successful real estate funds.
