Overview

In an ever-changing industry, clients who own, develop, or lease industrial/distribution assets, including e-commerce, distribution and fulfillment, cold chain, data center, call center, manufacturing, and warehouse assets throughout the U.S. call on our attorneys for our proven solutions to complex legal issues. We have served as counsel in the acquisition, development, financing, leasing, and disposition of billions of dollars of such industrial/distribution facilities individually and aggregated in portfolios. Our attorneys represent owners, developers, investors, and tenants of industrial/distribution properties. We handle all aspects of industrial/distribution real estate and related matters.

This representation includes pragmatic and creative assistance with respect to nuanced site selection, economic incentives, tax abatements, utility negotiations, restrictive covenants, and environmental matters, whether as part of a due diligence process or as may arise during acquisition, leasing, ownership, or development. It also includes such assistance with respect to tax and other considerations in structuring an appropriate acquisition or development entity and the negotiation of the documents establishing and governing such entity. We work to achieve operational and capital cost savings for clients through the negotiation and documentation of governmental and private economic incentives, abatements, and awards.

We also have a significant number of clients in the logistics industry which gives us a deeper understanding of that segment of the industrial/distribution market.

Experience

  • Represented various regional Trammell Crow affiliates with industrial warehouse development and leasing matters (which has recently included distribution facilities for major retailers and a manufacturing facility for Corrugated Supply Company).
  • Represented a warehousing and supply chain services company with the development of a build-to-suit single-customer dedicated warehouse, including drafting and negotiation of a ground lease with the customer/tenant.
  • Represented an office/warehouse developer in the development of office/warehouse industrial parks, including addressing development and planning issues for the whole office/warehouse park, as well as documentation to address the purchases of land, park easements and restrictions, construction, and permanent financing, joint ventures with capital partners and sales of single buildings and multiple building portfolios.
  • Represented an owner/developer with a build-to-suit lease for an 800,000 square foot Home Depot distribution center.
  • Represented a purchaser/landlord in a sale/lease back transaction for an aeronautical manufacturing facility in New Mexico.
  • Representing a Fortune 100 national food distribution company as outside North American real estate counsel with regard to all acquisitions, developments, leases, and dispositions of real estate in the U.S. and Canada (including, recently, a 550,000 square foot warehouse lease in the Southeast).
  • Represented a Fortune 500 consumer goods company in the negotiation of a 1.4 million square foot build-to-suit regional warehouse and distribution center located in metropolitan Atlanta, Georgia.
  • Represented a REIT in connection with the acquisition and financing of large refrigerated warehouses and distribution facilities.
  • Represented the U.S. affiliate of a Korean manufacturing company in connection with the lease of its U.S. warehouse and service facility.
  • Represented an institutional owner of an older regional mall in leasing a former department store as a call center.
  • Represented an institutional owner in the acquisition, leasing, and disposition of office/warehouse projects.
  • Represented a national biomedical company in a lease of industrial space for research, manufacturing, storage, and distribution.
  • Represented a light industrial developer and manufacturer in the acquisition of a 23-acre site, including a 400,000 square foot building, for its U.S. headquarters and manufacturing facility.
  • Represented Dole in the lease of a refrigerated warehouse in McDonough, Georgia.
  • Represented institutional owners in connection with the leasing and management of a portfolio of multiple office/warehouse buildings, including a 355,000 square foot office/warehouse lease.
  • Represented an institutional owner in the acquisition of a multiple-building industrial park and subsequent leasing activity in the Southeast.
  • Represented a national warehouse company in the acquisition, financing, operation, and disposition of refrigerated warehouse properties.
  • Represented a New England developer as the landlord to prepare and negotiate “bond leases” for execution by a credit tenant. These leases differed from a “triple net” lease in that the landlord had no obligations under the lease whatsoever and that the leases continued uninterrupted in the event of a casualty or condemnation. The leases were essentially “bonds” of the tenant. The objective of the “bond lease” was to evidence an uninterruptable rental stream that could be financed or sold at a low cap rate based on the credit of the tenant.
  • Represented a real estate investment and development company in the lease of an approximately 12-acre industrial site in North Carolina.
  • Represented a medical supply company in the lease of warehouse and office space.
  • Represented a manufacturing company in the acquisition and tax-exempt bond financing of its $8 million headquarters location in a covenant-restricted industrial park.
  • Representation of a retailer in the acquisition of inventory and supply warehouses across the U.S.
  • Represented the owner/developer in connection with the development and leasing of a call center in New Mexico.
