Genesis HealthCare LLC - AGG Provides Regulatory Advice Regarding Transaction Structure and Seeks Regulatory Approvals for the Transaction

Challenge

Genesis HealthCare LLC, one of the nation’s largest skilled nursing and rehabilitation therapy providers, plans to combine with publicly-held Skilled Healthcare Group, Inc., whose subsidiaries operate skilled nursing facilities, assisted living facilities, hospices, home health providers and a rehabilitation therapy business. The all-stock deal is expected to close in early 2015, subject to regulatory approvals and other closing conditions. The combined company will trade on the New York Stock Exchange.

AGG is providing regulatory advice regarding transaction structure and seeking regulatory approvals for the transaction in states throughout the country. AGG’s attorneys are handling licensure, Medicaid, Certificate of Need, and Medicare filings. AGG’s responsibilities include pre-closing as well as post-closing regulatory filings.

Result

The combined company, operating under the Genesis HealthCare name, will have some 500 facilities and 95,000 employees in 34 states, with annual revenue of approximately $5.5 billion.
