Andrew is a partner in the Firm’s Corporate Practice Group. He is a member of the Firm’s Economic Development and International Business Practice Teams, and he leads the Firm's Entertainment and Sports Practice Team.
 
Andrew’s economic development practice focuses on advising U.S. and foreign businesses, developers, development authorities, and state and local governments in connection with the location and development of new facilities and with the expansion of existing facilities, including the negotiation of incentives for facility location and expansion. Andrew also counsels foreign companies in various corporate transactions, including the establishment of U.S. operations, equity and debt financing, and mergers and acquisitions. Andrew has represented companies based in Korea, Japan, Germany, India, and China, among others. In addition, he assists U.S. companies in transactions with foreign companies.
 
Andrew also advises and counsels theatrical, movie and television production companies, and professional athletes, music, book and film artists. In the entertainment arena, He has drafted and negotiated numerous agreements involved in theatrical, movie and television production, including project financing and production agreements, artist agreements, option and acquisition agreements, and various joint venture agreements. He also assists clients in securing and utilizing entertainment tax credits. Andrew also counsels professional athletes with asset acquisition and sale, and regarding investments and asset protection matters.

Representative Transactions
International Business and Mergers & Acquisitions
  • Represented India-based technology company in $35 million acquisition of U.S. company with worldwide operations.
  • Represented German company in connection with the formation of its U.S. subsidiary and subsequent acquisition of a California-based technology company.
  • Extensive experience representing purchasers and sellers of franchises, including representing the seller of 35 fast food restaurants and the purchaser of multiple ham franchises.
Economic Development
  • Lead counsel in multiple negotiations of incentives packages with various states and with local municipalities and bond-lease transactions for both domestic and foreign companies, including companies based in South Korea, Japan, and Germany.
  • Represented public company in multiple incentives negotiations and bond-lease transactions in excess of $1 billion.
  • Represented development authority in issuance of revenue notes and the refinancing of a major company’s debt issued through the authority.
Entertainment and Sports
  • Represent entertainment production company with all legal needs, including formation, private placement fundraising, and negotiation of various entertainment-related contracts, including talent agreements, agency agreements, and reality television show production agreement.
  • Advise professional athletes with respect to various legal needs including asset acquisition and sale, investments and asset protection matters.
  • Represent major film studio with financing matters and entertainment tax credits.

Andrew, a former professional radio air personality, is happily married to his wife Wendi. They live in metro Atlanta, have six children and two dogs.
