The Commercial and Real Estate Lending Practice comprises attorneys with extensive experience and expertise in all aspects of secured and unsecured lending law. The practice is comprised of two teams with distinct areas of legal focus: Commercial Finance and Real Estate Lending. In each case, our attorneys represent an array of institutional lenders across the country in structuring, documenting, negotiating and closing complex private debt financing transactions.
In the commercial finance area, the team routinely represents financial institutions and borrowers in structuring and closing loans to business concerns underwritten and secured either by the borrower’s business assets or cash flows. These commercial finance transactions include both syndicated and single-lender credit facilities, underwritten on both an investment grade and leveraged basis.
In the real estate finance area, the team represents banks, insurance companies and other financial institutions in structuring and closing loans to developers and investors secured by real estate and related assets and represents developers and investors in connection with their real estate lending transactions. These transactions include construction, mini perm, term, non-recourse term, revolving credit and conduit loans and include both syndicated and single lender loans. In addition, the team assists loan servicers in various CMBS loan servicing and workout matters.
Together with the Firm’s Litigation, Bankruptcy and Workout Teams, the Commercial and Real Estate Lending Practice handles many foreclosures, workouts, restructurings, workouts and in court and out-of-court liquidations, loss share arrangements with the FDIC, loan enforcement and other borrower litigation, and all aspects of litigation associated with secured loan transactions. The Commercial and Real Estate Lending Practice works closely with the Corporate Team when working on acquisition financing transactions and with the Healthcare Team in connection with healthcare financings.
The Commercial and Real Estate Lending Practice has closed hundreds of transactions over the past decade, representing local, regional and national banks and insurance companies, in addition to commercial finance companies and mezzanine lenders.
